FPL Group completes acquisition of Texas retail electric provider Gexa Corp.

JUNO BEACH, Fla. – FPL Group, Inc. (NYSE:FPL) announced today that on Friday, June 17, 2005 it completed, for the benefit of its wholly-owned subsidiary, FPL Energy, LLC, the acquisition of Gexa Corp., one of the fastest growing retail electricity providers in Texas, serving approximately 1,000 megawatts of peak load associated with over 120,000 small commercial and residential customers throughout the state. In the acquisition, each share of Gexa’s outstanding common stock was converted into 0.1682 of a share of FPL Group common stock.

The aggregate value of the consideration for the acquisition of Gexa was approximately $ 81 million (assuming the exercise of Gexa options and warrants net of cash to be received upon exercise), payable in shares of FPL common stock. The FPL Group common stock issued in connection with the acquisition has been approved for listing on the New York Stock Exchange.
